Background

INOX Leisure was promoted by the Inox Group, an Indian industrial conglomerate with interests in industrial gases, chemicals, refrigerants, renewable energy and cryogenic engineering. The group's flagship company, Gujarat Fluorochemicals, diversified into the entertainment sector at a time when organised multiplex exhibition was emerging as a distinct segment of the Indian film industry, replacing single-screen cinemas in major urban markets.

The chain positioned itself as a premium movie-going brand, offering multi-screen properties typically located within shopping malls, with amenities such as recliner seating in select auditoriums, food and beverage counters, and large-format screens.

History

  • 1999: Incorporation of the company that would operate the INOX cinema business.
  • 2002: The first INOX multiplex was opened in Pune, Maharashtra, marking the brand's entry into Indian film exhibition.
  • 2006: INOX Leisure was listed on the Indian stock exchanges through an initial public offering.
  • 2007: The company acquired Calcutta-based 89 Cinemas (Calcutta Cine Private Limited), expanding its footprint in eastern India.
  • 2013: INOX completed the acquisition of Fame India Limited, a multiplex operator with screens in western and southern India, further consolidating its position in the sector.
  • 2014: Acquisition of Satyam Cineplexes, a multiplex chain with a strong presence in the National Capital Region.
  • 2020–21: Operations were severely disrupted by the COVID-19 pandemic, which led to extended cinema closures across India.
  • 2022: INOX Leisure and PVR Limited announced a merger, with the boards of the two companies approving a share-swap arrangement.
  • 2023: The merger received regulatory and shareholder approvals and was completed, creating PVR INOX Limited, the largest multiplex operator in India.

Operations

At the time of the merger, INOX Leisure operated multiplexes in numerous Indian cities across states including Maharashtra, Gujarat, West Bengal, Karnataka, Tamil Nadu, Kerala, Delhi, Haryana, Uttar Pradesh, Madhya Pradesh, Rajasthan, Punjab, Andhra Pradesh and Telangana. Its revenue streams included box-office collections, food and beverage sales, in-cinema advertising, and convenience fees from online ticketing partnerships.

Premium offerings under the INOX umbrella included INSIGNIA, a luxury format with recliner seating and gourmet dining, and Kiddles, screens designed for children. Large-format and immersive screens were operated under partnerships including IMAX and Onyx LED Cinema.

Merger with PVR

The merger between INOX Leisure and PVR Limited was announced in March 2022. Under the agreed terms, INOX Leisure shareholders received PVR shares in a fixed ratio, and the combined company was renamed PVR INOX Limited. The arrangement was approved by the Competition Commission of India, the National Company Law Tribunal, and the shareholders of both companies. Post-merger, cinemas continued to operate under the existing PVR and INOX brands, while new properties were launched under the unified PVR INOX identity.

Significance

INOX Leisure played a notable role in the modernisation of Indian film exhibition during the 2000s and 2010s, contributing to the spread of the multiplex format beyond metropolitan centres into Tier-II and Tier-III cities. Its merger with PVR was among the largest consolidations in the Indian media and entertainment industry, reshaping the structure of organised cinema exhibition in the country.
